Terms of Service

1. Acceptance of Terms

By accessing or using Scannly ("the App"), you agree to be bound by these Terms of Service and all applicable laws. If you do not agree, do not use the App.

2. Description of Service

Scannly provides QR code-based contact exchange services for events, trade shows, and networking. The App facilitates digital business card sharing through QR code scanning.

3. User Accounts and Registration

• You must provide accurate, current, and complete information
• You are responsible for maintaining account confidentiality
• You must be 18+ or have parental consent to use the App
• One account per person; no account sharing

4. Acceptable Use

You agree NOT to:

• Use the App for any illegal purpose or violation of laws
• Send spam, harassment, or unsolicited communications
• Impersonate others or provide false information
• Attempt to gain unauthorized access to systems
• Scrape, harvest, or collect user data without consent
• Reverse engineer, decompile, or modify the App

5. In-App Purchases

• All purchases are processed through Apple App Store
• Scan credits are consumable and non-refundable once used
• Prices are subject to change without notice
• No refunds except as required by law or App Store policy
• Unused credits do not expire but may be forfeited if account is deleted

6. Intellectual Property

All content, features, and functionality are owned by Scannly and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works.

7. User Content

• You retain ownership of your business card information
• You grant us license to store and display your data as needed to operate the service
• You are solely responsible for accuracy of your information
• We may remove content that violates these terms

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCANNLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS OR $100, WHICHEVER IS LESS.

10. Indemnification

You agree to indemnify, defend, and hold harmless Scannly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the App, (b) your violation of these Terms, or (c) your violation of any rights of another.

11. Termination

• We may suspend or terminate your account at any time for violations
• You may delete your account at any time
• Upon termination, your right to use the App ceases immediately
• Unused scan credits are forfeited upon account deletion

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Maryland, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Maryland, except where prohibited by law. You waive any right to a jury trial or class action lawsuit.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting. Your continued use after changes constitutes acceptance.
